Terms of Service

Effective Date: May 30, 2026

IMPORTANT LEGAL AGREEMENT

These Terms & Conditions (“Terms”, “Agreement”) constitute a legally binding agreement between you and Sumayu Global Marketing Pvt. Ltd. (“Company”, “We”, “Us”, “Our”).

These Terms govern your access to and use of:

  • Company website
  • Distributor portals
  • Mobile platforms
  • Business systems
  • Digital tools
  • Compensation plans
  • Training systems
  • Marketing programs
  • Wellness products
  • Ayurvedic products
  • Nutritional products
  • Referral systems
  • Direct selling programs
  • Distributor opportunities
  • Events & Webinars
  • Software & Educational materials
  • And all related products and services operated by the Company.

By accessing, registering, browsing, purchasing, joining, promoting, referring, participating, or using any Company services, you acknowledge that:

  • You have read these Terms carefully,
  • You fully understand them,
  • You voluntarily agree to be legally bound by them,
  • You agree to all Company policies,
  • You agree to comply with applicable laws.

If you do not agree with these Terms, you must immediately stop using the services.

1. DEFINITIONS

  • “Company”: Refers to Sumayu Global Marketing Pvt. Ltd., including its owners, directors, employees, affiliates, subsidiaries, representatives, successors, and assigns.
  • “Platform”: Refers to all websites, portals, applications, software systems, digital infrastructure, APIs, databases, and online services operated by the Company.
  • “User”: Refers to any visitor, customer, buyer, distributor, promoter, affiliate, applicant, employee, contractor, or any person accessing Company services.
  • “Distributor” / “Promoter”: Refers to independent individuals participating in Company direct selling, referral, marketing, or business opportunity programs.
  • “Products”: Refers to wellness, Ayurvedic, herbal, nutritional, healthcare-support, personal care, lifestyle, and related products sold by the Company.
  • “Services”: Includes software systems, training programs, educational materials, support services, business tools, events, webinars, distributor systems, marketing tools, and online/offline business activities.

2. ACCEPTANCE OF TERMS & ELECTRONIC CONSENT

By using the Platform, you confirm that:

  • You are legally competent under Indian law,
  • You are at least 18 years old,
  • Information provided by you is accurate,
  • You agree to comply with Company policies,
  • You shall not misuse the Platform,
  • You understand violations may lead to legal action.

Electronic Consent: Registration, clicking acceptance buttons, OTP verification, electronic signatures, or digital confirmations constitute legally binding acceptance of these Terms.

The Company reserves the right to:

  • Refuse service, Suspend accounts, Restrict access,
  • Hold commissions, Reject applications,
  • Cancel transactions, Initiate legal proceedings.

3. ELIGIBILITY

To access services or become a distributor/promoter, you must:

  • Be 18 years or older, Possess valid identification,
  • Provide accurate KYC information,
  • Not be prohibited by law, Not have previous fraud history,
  • Not have been terminated previously for misconduct.

The Company may reject any application without assigning reasons.

4. AYURVEDA, WELLNESS & MEDICAL DISCLAIMER

The Company offers Ayurvedic, herbal, wellness, nutritional, and lifestyle-related products. Products may include herbal supplements, Ayurvedic formulations, wellness products, nutritional products, health-support products, personal care products, and lifestyle-support products.

IMPORTANT DISCLAIMER: Products sold by the Company:

  • Are intended only for wellness and lifestyle support,
  • Are not intended to diagnose, treat, cure, mitigate, or prevent diseases unless specifically approved under applicable laws.
  • Are NOT substitutes for professional medical advice,
  • Should not replace prescribed medicines unless advised by licensed professionals.

Information provided through our website, labels, videos, testimonials, training, social media, marketing materials, webinars, and distributor presentations is for informational and educational purposes only.

Users must consult qualified healthcare professionals before use, especially if:

  • Pregnant
  • Breastfeeding
  • Elderly
  • Under medication
  • Suffering from medical conditions
  • Allergic to ingredients

Individual results vary. The Company makes no guarantee regarding weight loss, recovery, healing, immunity improvement, fitness transformation, disease management, or medical outcomes.

The Company shall not be liable for:

  • Allergic reactions, Improper usage, Overdose,
  • Self-medication, Ignoring medical advice, Combining products incorrectly,
  • Misuse, Storage negligence, Expired product usage.

Distributors are strictly prohibited from making cure claims, guaranteed health claims, medical promises, or misleading testimonials.

5. DIRECT SELLING BUSINESS TERMS

The Company may operate direct selling, referral marketing, and distributor programs in accordance with applicable Indian laws.

Voluntary Participation: Distributor participation is strictly voluntary and subject to applicable direct selling laws. Users may exercise applicable statutory rights, including cooling-off periods and buyback policies, where applicable under law and Company policies.

Distributors acknowledge:

  • They are independent contractors,
  • They are NOT employees,
  • They are NOT agents,
  • They cannot legally bind the Company.
  • No Employment Benefits: Distributors are not entitled to employee benefits, Provident Fund (PF), gratuity, insurance, leave benefits, or employment protections unless required by law.

6. EARNINGS & INCOME DISCLAIMER

The Company makes absolutely NO representation, warranty, or guarantee regarding:

  • Income potential
  • Financial success
  • Profitability
  • Bonus eligibility
  • Incentive qualification
  • Rank achievement
  • Leadership advancement
  • Team growth
  • Passive income generation
  • Lifestyle improvement
  • Career success
  • Business sustainability

All earnings, commissions, incentives, rewards, recognition levels, bonuses, and financial outcomes depend entirely upon multiple independent factors including individual effort, sales performance, product demand, customer retention, market conditions, leadership capabilities, communication skills, business strategy, time commitment, ethical conduct, compliance with Company policies, team productivity, and economic conditions.

The Company does NOT guarantee that any participant will earn income or recover investments, expenses, or business costs. Any earnings examples, income illustrations, lifestyle depictions, success stories, testimonials, case studies, promotional materials, or distributor statements are provided strictly for illustrative and educational purposes only and shall NOT be interpreted as guarantees or typical outcomes.

Distributors are strictly prohibited from:

  • Promising guaranteed earnings,
  • Misrepresenting income potential,
  • Showing fake profits or manipulated commission screenshots,
  • Claiming assured financial freedom or using deceptive wealth marketing,
  • Making unrealistic lifestyle claims or suggesting “quick-rich” opportunities.

7. DIRECT SELLING COMPLIANCE & ANTI-MANIPULATION DISCLAIMER

The Company does NOT operate illegal pyramid schemes. Compensation is based on lawful business activities and product sales.

Bonus & Rank Manipulation Prohibited: Artificial structuring, cross-line activity, fake registrations, bonus manipulation, and compensation abuse are strictly prohibited.

Distributors must NOT:

  • Purchase excessive inventory for qualification,
  • Force purchases or engage in stock loading,
  • Promise guaranteed income or misrepresent compensation plans,
  • Create fake teams or manipulate systems.

The Company operates in accordance with the Consumer Protection Act, 2019, Consumer Protection (Direct Selling) Rules, 2021, and other applicable laws.

8. DISTRIBUTOR CODE OF CONDUCT

Distributors/promoters must maintain ethical conduct, respect customers, avoid misleading promotions, follow Company policies, and avoid unlawful marketing practices.

Distributors must NOT make fake medical/income claims, use fake testimonials, buy fake followers, use misleading advertisements, create fake IDs, abuse bonuses, mislead customers, defame competitors, use spam marketing, or impersonate the Company. Violation may result in suspension, termination, commission hold, legal proceedings, and damage recovery.

9. SOCIAL MEDIA & ONLINE PROMOTION POLICY

Users/distributors may not use misleading before-after images, fake screenshots, run misleading ads, use unauthorized logos, create fake social pages, purchase fake engagement, use illegal copyrighted content, spam WhatsApp groups, or use unauthorized influencer campaigns. The Company reserves the right to report violations, remove content, suspend accounts, and take legal action.

10. USER ACCOUNT SECURITY & DATA BACKUP

Users are responsible for password confidentiality, OTP protection, device security, and monitoring account activity. The Company is not liable for losses arising from shared passwords, weak passwords, user negligence, OTP sharing, device compromise, or phishing attacks.

Data Backup: Users are responsible for maintaining copies of important personal business records. The Company does not guarantee permanent storage of transaction histories or network data.

11. PRIVACY & DATA PROTECTION

Collection, processing, storage, and sharing of personal information, KYC data, and financial details shall be governed by the Company's Privacy Policy. By accepting these terms, you consent to the Company's data practices as required to operate the business, provide services, and maintain regulatory compliance.

12. KYC & VERIFICATION POLICY

The Company may require Aadhaar Card, PAN Card, Address proof, Selfie verification, Bank details, GST documents, and Tax information. Verification may be mandatory for distributor activation, commission withdrawal, high-value transactions, and fraud prevention. Failure to complete verification may lead to payment delays, account restriction, suspension, or termination.

13. PRICING, BILLING & PRODUCT AVAILABILITY

All pricing is subject to change without notice. Users agree that payments must be lawful and payment details accurate.

Product Availability: The Company does not guarantee the continued availability of any product, package, SKU, or promotional offering. Tax Details: Users are responsible for ensuring accurate GST details and invoice information at the time of purchase.

The Company may reject transactions, cancel suspicious orders, block risky payments, and hold orders for verification. Taxes including GST may apply.

14. COMPREHENSIVE REFUND, RETURN, CANCELLATION & PAYMENT REVERSAL POLICY

This section governs all refunds, returns, cancellations, and payment reversals. Nothing contained herein shall restrict statutory rights available under applicable consumer laws.

  • Eligibility for Refunds/Returns: Refunds and returns may only be considered if the wrong product was delivered, a damaged product was received, a manufacturing defect exists, valid proof (including unboxing videos) is submitted, and the claim is raised within the specified timeline.
  • Exclusions from Refunds/Returns: Refunds/returns shall NOT apply for opened wellness products, used consumables, improper usage or customer negligence, change of mind, unauthorized returns, or promotional/free items.
  • Cancellation Policy: Orders may only be cancelled before dispatch. Once shipped, an order does not qualify for cancellation.
  • Refund Processing: Approved refunds shall be processed subject to verification. Users acknowledge that refund processing timelines are estimates (generally 7 to 30 business days) and banking systems may cause delays. Refunds may be issued through the original payment method, bank transfer, or store credit.
  • Chargeback & Refund Abuse: Repeated refund abuse, fake complaints, malicious chargebacks, or fraudulent behavior may result in immediate account suspension, permanent blacklist, legal action, and distributor termination.

15. COOLING-OFF PERIOD & BUYBACK POLICY

In compliance with the Consumer Protection (Direct Selling) Rules, 2021, the Company provides a Cooling-Off Period for new distributors to cancel their participation and return goods.

Buyback / Repurchase: The Company offers a buyback policy for unsold, commercially resalable, unexpired, and unopened products returned within 30 days of purchase. Such returns are subject to the deduction of shipping costs, processing fees, GST, and any commissions/bonuses already paid out on that volume. Inventory loaded for the sole purpose of achieving ranks and then returned will trigger disciplinary action and rank reversal.

16. SHIPPING, DELIVERY & RTO POLICY

Delivery timelines are estimates only. Delays may occur due to weather, logistics failures, government restrictions, or courier issues. Customers must provide accurate addresses.

COD & RTO (Return to Origin) Policy: The Company may verify COD orders, restrict COD in high-risk areas, and blacklist repeated fake orders. Customers refusing deliveries repeatedly may face penalties, account restriction, and re-shipping charges.

17. PRODUCT USAGE, ALLERGY, STORAGE & CHILD SAFETY

  • Suitability & Allergies: Users are responsible for evaluating product suitability, reading labels, checking allergy sensitivities, and consulting professionals. The Company is not liable for allergic reactions, misuse, overconsumption, or self-medication consequences. Discontinue use immediately if adverse reactions occur.
  • Storage & Handling: Users must store products properly away from sunlight and moisture. The Company is not responsible for damage caused by improper storage.
  • Child Safety: Products intended for adult use should not be consumed by minors without appropriate supervision where applicable. Keep products out of reach of children unless specifically intended for child use.

18. USER CONDUCT, PLATFORM ABUSE & SECURITY

Users must NOT engage in fraud, attempt hacking, reverse engineer systems, spread malware, use bots, abuse referrals, harass others, impersonate individuals, violate laws, or scrape databases. Unauthorized activities including penetration testing, vulnerability scanning, and fake traffic generation are strictly prohibited.

19. E-WALLET & VIRTUAL LEDGER RULES

The Company may provide distributors with a virtual E-Wallet or digital ledger within the software for tracking commissions and transactions.

  • Not a Bank Account: The E-Wallet is a closed-loop system for business tracking only; it is NOT a bank account, digital currency, or financial instrument.
  • No Interest: E-Wallet balances do not accrue interest.
  • Withdrawal Rules: Payouts are subject to minimum withdrawal limits, KYC verification, and standard processing cycles.
  • Security & Freezing: The Company reserves the right to freeze E-Wallet balances during fraud investigations, policy violations, or suspicious activities. Inactive accounts may have wallet balances handled in accordance with Company policy and applicable laws.

20. SYSTEM ERRORS & PAYOUT CORRECTIONS

The Company strives for accuracy in its compensation software. However, in the event of software glitches, technical faults, or human error: The Company reserves the right to correct calculation errors, reverse incorrect payouts, recover accidental credits, and rectify system-generated mistakes. If an overpayment occurs, the Company may recover or adjust overpayments after providing reasonable notification where practical.

21. INTELLECTUAL PROPERTY RIGHTS

All Company materials including logos, product names, designs, videos, databases, compensation plans, training systems, software, marketing materials, and documents remain exclusive Company property. Unauthorized copying, reselling, republishing, modification, or redistribution is prohibited.

22. CONFIDENTIALITY

Users may not disclose customer databases, distributor data, internal systems, pricing strategies, business information, compensation structures, backend access, or training systems. Violations may result in legal action.

23. HIRING & RECRUITMENT POLICY

The Company may publish job opportunities. Hiring is not guaranteed, fake documents are prohibited, and background verification may occur. Recruitment scams by third parties are not Company responsibility.

24. PAYMENT FRAUD & AML POLICY

The Company may monitor transactions for fraud, suspicious activity, money laundering risks, and identity misuse. High-risk transactions may be blocked or reported.

25. WEBSITE AVAILABILITY & SOFTWARE BUGS

The Platform integrates third-party payment gateways, couriers, and technology providers for which the Company is not responsible.

Software Limitations: The Company does not guarantee continuous uptime. Software may contain bugs, errors, temporary failures, maintenance interruptions, or beta features provided without warranty. Maintenance and downtime may occur without notice.

26. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Company shall NOT be liable for indirect damages, data loss, profit loss, reputation damage, service interruption, cyber incidents, third-party failures, or user negligence. Total liability shall not exceed the amount paid by the user for the disputed products/services.

27. INDEMNIFICATION

Users agree to indemnify and hold harmless the Company against claims, damages, penalties, legal expenses, and investigations arising from policy violations, fraud, illegal promotions, misleading claims, or intellectual property infringement.

28. DISTRIBUTOR TERMINATION, INACTIVITY & COMMISSION FORFEITURE POLICY

Subject to applicable laws, the Company reserves the right to suspend, deactivate, restrict, freeze, or permanently terminate any distributor account, promoter ID, wallet, commission access, referral structure, or associated business rights where deemed necessary for policy violations, fraud prevention, regulatory compliance, risk mitigation, business protection, ethical enforcement, or investigation purposes.

Grounds for suspension or termination include: misleading promotions, fake medical/income claims, unauthorized advertisements, system manipulation, identity fraud, chargeback abuse, multiple account creation, fake referrals, harassment, defamation, illegal conduct, tax violations, AML concerns, unauthorized reselling, and intellectual property infringement.

Inactive distributor accounts may be restricted, archived, or permanently terminated after prolonged inactivity.

The Company reserves the right to withhold commissions, reverse bonuses, recover fraudulent earnings, freeze payouts, conduct audits, recover overpayments, cancel incentive eligibility, and remove rank qualifications. Commissions arising from fraud, manipulation, or unlawful conduct may be forfeited.

29. UNAUTHORIZED RESELLING, RETAIL PRICING & MARKET CONDUCT

Distributors must maintain ethical pricing practices. Products may not be sold on Amazon, Flipkart, Meesho, IndiaMART, or other unauthorized marketplaces without written permission.

Users may not sell counterfeit products, alter packaging, misrepresent MRP, run deceptive discounts, create fake scarcity, manipulate pricing, conduct bait advertising, or engage in price wars and bulk dumping. The Company reserves the right to suspend distributors, recover damages, and initiate legal action for violations.

30. TAX RESPONSIBILITY

Users/distributors are solely responsible for GST, Income Tax, TDS, business registrations, and regulatory compliance associated with their income and activities. (As noted in section 13, users must ensure accurate GST details at checkout).

31. MARKETING COMMUNICATION & CONSENT POLICY

By registering or using Company services, users expressly consent to receive communications from the Company through calls, SMS, WhatsApp, email, push notifications, promotional campaigns, and transactional alerts.

Even where DND/NCPR registration exists, users acknowledge that transactional, compliance-related, and business-operation communications may still be sent where legally permissible. Users may opt out from certain promotional communications subject to operational limitations.

32. NON-DISPARAGEMENT

Users may not publish false or defamatory statements against the Company, its products, employees, management, or distributors. Legal action may be taken against violators.

33. FORCE MAJEURE

The Company shall not be liable for delays or failures caused by floods, pandemics, cyberattacks, war, government restrictions, internet outages, power failures, transportation disruptions, or any other event beyond our reasonable control.

34. RIGHT TO REFUSE SERVICE & ACCOUNT SUSPENSION RIGHTS

The Company reserves the right to reject registrations, refuse service, cancel orders, and restrict access where necessary. The Company may also temporarily or permanently suspend accounts, wallets, and commissions during investigations or policy violations, and reserves the right to audit accounts for fraud.

35. MODIFICATIONS TO POLICIES & TERMS

The Company reserves the right to modify policies, compensation structures, terms, plans, and procedures from time to time. Updated versions shall become effective upon publication on official Company platforms or communication channels. Continued use of the platform and services constitutes acceptance of the revised Terms.

36. RELATIONSHIP OF PARTIES

Distributors are independent contractors only. Nothing in these terms creates a partnership, employment, joint venture, or agency relationship between you and Sumayu Global Marketing Pvt. Ltd.

37. CLASS ACTION WAIVER

Where legally permitted, disputes must be brought individually and not as collective or class actions.

38. RECORDING CONSENT & ELECTRONIC RECORDS ADMISSIBILITY

Calls, webinars, meetings, and training sessions may be recorded for quality, security, legal, and training purposes. Users acknowledge that electronic records (server logs, OTP records, IP logs, device information, transaction histories) may be maintained as valid business records and used as admissible evidence in investigations or legal proceedings.

39. GOVERNMENT AUTHORITY COOPERATION

The Company may cooperate with police, cybercrime authorities, courts, regulators, and GST authorities. Information may be disclosed where legally required.

40. ANTI-BRIBERY, ANTI-CORRUPTION & LEGAL COMPLIANCE

Users, distributors, and employees must comply with all applicable anti-corruption laws. Strictly prohibited activities include offering illegal inducements, paying bribes, tax evasion, fake invoicing, identity laundering, money laundering, forgery, and kickback arrangements. The Company reserves the right to investigate and report suspicious activities.

41. INTERNATIONAL USE & CROSS-BORDER COMPLIANCE

The Company primarily operates within India. International users are solely responsible for ensuring compliance with local laws, import regulations, customs requirements, tax obligations, and consumer protection laws. The Company shall not be liable for customs seizures, regulatory restrictions, or international shipping delays.

42. TESTIMONIAL, RESULTS & EXPERIENCE DISCLAIMER

Testimonials, reviews, before-after depictions, success stories, and distributor achievements represent individual experiences only. They are not guarantees, medical evidence, or typical outcomes. Fabricating testimonials or manipulating reviews is strictly prohibited.

43. BRAND PROTECTION & IMPERSONATION POLICY

Users may not register misleading domain names, create fake websites, operate impersonation pages, misuse Company branding, copy trademarks, or falsely represent official affiliation with the Company.

44. SEVERABILITY & SURVIVAL CLAUSE

If any provision of these Terms becomes unenforceable, the remaining provisions shall remain valid. Clauses relating to intellectual property, confidentiality, liability, fraud, taxation, and legal rights shall survive termination of this agreement.

45. ENTIRE AGREEMENT

These Terms, along with all published Company policies, constitute the complete agreement between users and Sumayu Global Marketing Pvt. Ltd.

46. ARBITRATION & DISPUTE RESOLUTION

Any dispute, controversy, claim, or disagreement arising out of or relating to these Terms shall first be attempted to be resolved amicably through mutual discussions and negotiations.

In the event such dispute remains unresolved within thirty (30) days from the date of written notification of the dispute, the matter shall be referred to and finally resolved through arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, including any statutory amendments.

The arbitration shall be conducted under the following terms:

  • Seat and Venue of Arbitration: Allahabad, Uttar Pradesh, India
  • Language of Arbitration: English
  • Number of Arbitrators: Sole Arbitrator

The Sole Arbitrator shall be appointed by the Company from independent legal professionals, retired judicial officers, advocates, or mutually acceptable persons in accordance with applicable law.

The arbitration proceedings shall be conducted in a fair and impartial manner, and the award passed by the Arbitrator shall be final and binding upon all parties. Nothing contained herein shall prevent the Company from seeking interim, injunctive, or equitable relief before courts having appropriate jurisdiction.

Subject to the above arbitration provisions, courts situated in Allahabad, Uttar Pradesh shall have exclusive jurisdiction over matters where judicial intervention is permissible under applicable laws.

47. GOVERNING LAW

These Terms shall be governed by the laws of India.
